Terms of Service Agreement
These Terms of Service (“Agreement”) govern the provision of logo design services by Logo Design Company a division of Web Partner (Pty)Ltd (“Agency”) to any client (“Client”) who engages with the Agency for logo design services. By engaging the Agency, the Client agrees to the following terms:
1. Scope of Services
The Agency agrees to perform the following services (“Services”):
Design of a logo based on the Client’s specifications.
Provision of three initial design concepts.
Three revisions within a fair use policy until the Client is completely satisfied, based on the chosen design concept.
2. Deliverables
The Agency will deliver the following (“Deliverables”):
Three initial design concepts.
Three revisions on the chosen design concept.
Final logo in specified file formats (e.g., EPS, PDF, PNG, SVG, AI).
3. Fair Use Policy
The Agency is committed to achieving complete client satisfaction through three revisions within reasonable boundaries. Upon the selection of one of the three initial design concepts, subsequent revisions shall adhere to the chosen concept’s framework. The Agency will not undertake substantial deviations or entirely new design directions once a concept has been selected.
4. Payment Terms
Total Project Fee: The fee for the logo design project will be agreed upon before the commencement of work.
Payment Schedule: Typically, 50% upfront and 50% upon completion, unless otherwise agreed.
Late Payment Penalty: A late payment penalty of 5% per month may be applied after 14 days past due.
5. Copyright Ownership and Rights
Upon receipt of full payment, the Agency assigns all rights, title, and interest, including Copyright, in and to the final logo to the Client. The Agency retains the right to use the final design in its portfolio and for promotional purposes.
6. Revisions and Approval
The Client is entitled to three revisions on the chosen design concept within the fair use policy. The Client agrees to provide timely feedback and approval to facilitate the project timeline.
7. Confidentiality
The Agency agrees to keep all Client information confidential and not to disclose it to any third parties without the Client’s consent.
8. Termination
Either party may terminate this Agreement with 7 days written notice. In the event of termination, the Client agrees to pay for all work completed up to the termination date.
9. Liability
The Agency will not be liable for any indirect, incidental or consequential damages arising out of or in connection with this Agreement. The Agency’s total liability under this Agreement shall not exceed the amount paid by the Client for the Services.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of South Africa.
11. Entire Agreement
These Terms of Service constitute the entire agreement between the parties and supersede all prior negotiations, understandings and agreements. Any amendments to these terms must be in writing and signed by both parties.
